A 1031 exchange can preserve investment equity, increase reinvestment flexibility, and help real estate clients defer recognition of capital gain, but the rules are unforgiving. This CLE program translates Section 1031 from technical tax language into practical deal guidance. Attendees will learn how to identify a potential exchange early, how to coordinate with a Qualified Intermediary, the rules, and how to spot common problems before closing.
The course covers core statutory requirements, qualified-use and like-kind real property rules, constructive receipt, boot, debt replacement, related-party transactions, identification standards, reverse exchanges, partnership and drop-and-swap issues, vacation-home conversions, DST and NNN replacement options, and attorney practice pointers. The goal is to help counsel issue-spot quickly, document the transaction correctly, and avoid common exchange failures that can turn a tax-deferral opportunity into a taxable sale.
