International Joint Ventures: Problems, Solutions and Approaches

This CLE course provides an overview of the legal aspects of cross-border joint ventures (JVs). It covers the basic “nuts-and-bolts” of JVs, such as purpose, capital contributions, governance and management, veto rights and minority protections, profit distributions, transfer restrictions, exit strategies and dispute resolution, but aims to do so specifically in the cross-border or international context.

That means also addressing cultural and foreign law issues, repatriation of profits, international taxation, and potential corruption and bribery concerns. We will use a few specific examples of actual JVs to illustrate and facilitate our understanding of the foregoing legal problems.

Lecturer Bio

Thomas H. Hill, Esq.

Thomas Hill, 69 years old, is a member of the California and New York State Bars. He obtained his B.A. degree from Dartmouth College, J.D. from New York University School of Law and L.L.M. from Columbia University School of Law. He also studied as a Post-Doctoral Fellow at the Max Planck Institute for Private International Law in Hamburg, Germany, and for Comparative Law at the UCLA School of Law.

His experience includes work as an Associate at major law firms in San Francisco and New York; Senior Counsel (Latin America Division) at the World Bank; and General Counsel for Hunter Douglas North America (New York) and Hunter Douglas NV (The Netherlands). In more recent years he was a Visiting and Adjunct Professor of Law at Chicago-Kent College of Law, as well as having given lectures and courses at universities and other schools in China, Thailand, Taiwan, Greece, Turkey, Georgia, Azerbaijan, Kazakhstan, Poland, Ukraine, and Lithuania.
