About This Course
This CLE program provides a practical overview of the legal and business considerations in forming and operating a franchise system. Topics include structuring a new corporation or LLC to isolate liability; selecting a favorable business jurisdiction; and advising clients on franchisee compliance, royalty enforcement, documentation practices, and litigation readiness.
The course will examine the preparation and strategic implications of the Franchise Disclosure Document (FDD), including required disclosures relating to corporate structure, management, litigation, bankruptcy, fees, initial investment, sourcing restrictions, franchisee obligations, financing, training and support, territory rights, intellectual property, operational requirements, transfer and termination provisions, dispute resolution, financial performance representations, and financial statements.
