About This Course
This CLE program provides a practical legal and compliance framework for attorneys advising companies conducting their first Regulation Crowdfunding (“Reg CF”) offering under the Securities Act of 1933. Designed primarily for in-house counsel, startup attorneys, and corporate practitioners, the course focuses on real-world operational, regulatory, and strategic considerations encountered throughout the lifecycle of a Reg CF raise.
The presentation examines the core requirements of Regulation Crowdfunding and compares Reg CF with other exempt offering frameworks, including Regulation D and Regulation A. Participants will gain insight into intermediary selection and diligence, SEC filing requirements, disclosure obligations, marketing limitations, investor communications, and ongoing compliance responsibilities.
