Description

This two part CLE course begins with a discussion of the new ethical rules and standards. The course will review the 2009 updates to the rules on ethics and include a thorough study of the various ethical considerations as they relate to mining for Metadata as well as the new rules as they pertain to engagement letters. The course will also explore the resurgence of the complex section 487 of the Judiciary Law and disciplinary proceedings that have resulted from recent changes. The second part of the course will offer strategic planning guidelines in relation to both personal and business relationships. The course will include a detailed look at conveyances between spouses, trusts, lifetime gifts to future generations and individual partnership to LLC’s. There will also be a comprehensive discussion of family limited partnerships, like kind exchanges, transfers of interest, and the distinctions between stock and real estate transfers.

Lecturer Bios

William Maker, Esq.

William Maker Jr. is a partner at McMillan, Constabile, Maker & Perone, LLP in Larchmont, NY, where his practice focuses on Municipal Law, Commercial Litigation, Trusts and Estates. He is active with both the Westchester County Bar Association and New Rochelle Bar Association, serving as Chairman (1999-2000) on the Grievance Committee of the WCBA. Mr. Maker has written articles for the NY State Bar Association and Westchester Bar Journals. He has taught seminars at Pace University and has spoken at many CLE programs throughout Westchester County. He is a graduate of New York University Law School. Mr. Maker is admitted to practice law in New York State and a member of the bar of the U.S. Supreme Court and U.S. Court of Appeals for the 2nd Circuit.

Michael J. Heller, Esq.

Michael J. Heller received his undergraduate degree from the State University of New York at Buffalo and his law degree from Hofstra University. He represented Hofstra at the Wagner National Moot Court Competition. Before joining Lamb & Barnosky, LLP, Mr. Heller practiced with the Nassau County law firm of Holman & Rosenberg. Mr. Heller works extensively with banks on complex commercial loans, including Industrial Development Agency and Small Business Administration matters, and with private clients in real estate development and corporate transactions. He has handled loan restructuring and workouts, foreclosures and deeds in lieu. He has been involved in sophisticated title insurance issues and litigation. Mr. Heller is admitted to practice law in New York State and New Jersey.
