About This Course
In this CLE course, we will explore the chartering and licensing options available to legacy banks, foreign banking organizations, and fintech companies seeking to establish, expand, or enhance the permissible activities conducted through a U.S. entity or a U.S.-based banking partner. Participants will examine the evolving landscape of banking and financial services, including traditional depository institutions, limited-purpose banks, special-purpose charter entities, and Banking-as-a-Service (BaaS) models.
The course will provide an overview of the legal and regulatory framework governing the "business of banking," including the products and services that distinguish banking organizations from other financial services providers. Attendees will gain familiarity with key federal banking statutes, including the National Bank Act, Bank Holding Company Act, International Banking Act, and Gramm-Leach-Bliley Act, as well as the operation of the dual federal-state banking system and the respective roles of chartering and prudential regulators.
The program will also examine common bank holding company structures, the regulation of foreign banking organizations operating in the United States, emerging special-purpose charter options, and the growing role of fintech companies and bank-fintech partnerships in delivering financial products and services. Through this discussion, participants will develop a practical understanding of the legal, structural, and regulatory considerations that shape modern banking organizations and financial services platforms.
